1. Acceptance of Terms

By accessing or using QRaway Business Ecosystem, you agree to comply with these Terms of Service. If you do not agree, please refrain from using our platform.

2. User Obligations

As a user of QRaway, you agree to:

• Provide accurate and up-to-date information during registration.
• Use the platform only for lawful purposes and in compliance with all applicable laws and regulations.
• Refrain from using the platform in any way that could harm the platform or interfere with other users' experiences.

3. Account Responsibility

You are responsible for maintaining the confidentiality of your account login information, including your email and password. QRaway will not be liable for any unauthorized access to your account resulting from your failure to safeguard this information.

4. Identity Verification and Transparency

QRaway Digital Spaces is a transparent and non-anonymous platform. Space owners are responsible for the accuracy of the information they provide upon registration, and QRaway accepts this information in good faith.

Identity Verification:
While initial registration does not require identity verification, once a payment is made, the space owner's payment information provided by the merchant is linked to their account. QRaway does not control the extent of the information provided but ensures that payment data is permanently tied to the corresponding account.

Disclosure of Information:
This information is not publicly accessible, but QRaway reserves the right to disclose it to official authorities upon any formal request or legal demand. QRaway is not an encrypted communication platform like messaging services; it is a transparent, open, and business-focused ecosystem.

5. Content Ownership and Responsibility

Users retain ownership of the content they create and publish within their Digital Spaces. By uploading or posting content on QRaway, you grant us a non-exclusive, royalty-free license to use, display, and distribute this content as part of providing the platform's services.

Responsibility for Content:
While QRaway provides the platform for users to host and manage their Digital Spaces, we do not actively monitor or control the content posted by users. Each space owner is solely responsible for the content they upload and share on their Digital Space, including but not limited to text, images, videos, and links. QRaway is not liable for any content that violates legal or ethical standards. If any unlawful or harmful content is reported, QRaway reserves the right to remove such content or suspend the associated account.

6. Prohibited Uses

You may not use QRaway to:

• Post or share illegal, harmful, or offensive content.
• Engage in activities that infringe upon the rights of others or violate intellectual property laws.
• Distribute viruses, malware, or other harmful technologies that could affect the platform or other users.

7. Payments and Subscriptions

Payments for premium services or features are processed through the merchant system (e.g., PayPal or other supported payment providers). By subscribing to any paid services, you agree to provide accurate payment information and authorize QRaway to process your payments. All payments are non-refundable unless stated otherwise in specific terms for certain services.

8. Transactions and Token System

I. Token Purchases
All transactions on the QRaway platform are conducted using our internal token system. One token equals one US dollar (1 token = 1 USD). When you purchase tokens, you pay exactly the same amount in USD as the number of tokens you receive (e.g., $100 for 100 tokens). There are no hidden fees or additional charges when purchasing tokens.

II. Using Tokens within the System
Tokens can be used to pay for services within QRaway and on any connected Digital Spaces. The value of tokens remains constant within the platform, meaning 100 tokens equal $100, whether you're purchasing services from QRaway or from a space owner.

III. Payouts for Space Owners
Space owners who sell services on their Digital Spaces will accumulate tokens as payment. When requesting a payout, the total amount will be converted back into USD based on the current token balance (e.g., 100 tokens = $100). However, all fees and transaction costs (such as merchant transaction fees) will be deducted from the payout amount. Space owners are responsible for these transaction costs.

Note: We incur transaction losses in two stages—first, when tokens are purchased by the user, and second, when the payout is processed for the space owner. Unfortunately, we cannot avoid these transaction fees, which is why the payout commission is set at 7%. This commission helps cover both sets of fees and ensures that the system operates smoothly.

Example:
If a space owner requests a payout of $100 (100 tokens), and the merchant fee is 7%, the space owner will receive $93. The exact payout amount may vary depending on the payment provider's fee structure.

IV. Responsibility for Transaction Fees
QRaway provides the platform and tools to sell services online without the need for additional systems or registrations. However, all transaction fees and costs related to payouts (such as merchant fees) are the sole responsibility of the space owner. QRaway does not cover these fees.

V. No Refund Policy for Tokens
Once tokens are purchased, they are non-refundable. Tokens must be used within the QRaway platform for payments, and any remaining balance can be withdrawn according to the payout process described above, with applicable fees deducted.

9. Modules and Subscriptions

I. Free and Paid Modules
QRaway offers three types of Digital Spaces for users:

• Basic Space (Free): This module provides basic website functionality, including a business card feature with essential options for presenting your business online. It comes with QR code integration and basic customization features.
• Business Space (Paid): A more advanced template with enhanced design options, including video uploads and additional features. This module supports custom domain names for a more professional online presence.
• Digital Space (Paid): The most feature-rich option. It includes all the features of the Business Space, with the ability to add any available modules, plus 250 GB of cloud storage for videos, media, and other content.

II. Subscription Terms

• All paid modules are based on annual subscriptions. Users may upgrade their Digital Space at any time by purchasing a higher-tier module.
• Digital Space subscriptions include 250 GB of cloud storage, with the option to purchase additional storage for an extra fee.
• Users may cancel their subscription at any time. However, no refunds will be issued for any unused portion of the subscription period. Once the subscription is canceled, the Digital Space will remain active until the end of the current billing cycle, after which the user can choose to either renew the subscription or allow it to expire, similar to how domain names function.
• Canceling a subscription does not immediately disable the Digital Space; users retain full access and functionality until the subscription period ends.

III. Additional Storage
Users who require more than 250 GB of cloud storage for their Digital Space may purchase additional storage for an extra fee. Storage increases are available in increments of 250 GB.

10. Affiliate Program

QRaway offers an affiliate program that is open to all users of the platform, excluding shadow users. This program allows users to earn tokens by referring new customers to the platform.

I. Affiliate Commissions
Affiliates start with a 20% commission on every new subscription referred through their unique referral link, button, or QR code. The commission is calculated based on the subscription price:

• For a $199 subscription, the affiliate earns 40 tokens.
• For a $499 subscription, the affiliate earns 100 tokens.

II. Payout Conditions
Affiliate earnings are paid out in tokens, under the same rules as space owner payouts. Affiliates must accumulate at least 100 tokens before they can request a payout. All transaction fees, including merchant transaction fees, are deducted from the payout amount.

Example:
If an affiliate earns 40 tokens (20% of a $199 subscription) and decides to withdraw their earnings, the merchant’s transaction fee of 7% will be deducted. In this case, the affiliate would receive $37.2 after the deduction. The exact payout amount may vary depending on the payment provider's fee structure.

III. Affiliate Responsibilities
QRaway encourages affiliates to actively promote the platform. However, affiliates must follow ethical marketing practices and avoid any behavior that may harm the platform’s reputation. QRaway reserves the right to:

• Lower the affiliate's commission percentage in case of misconduct.
• Remove affiliates from the program if their behavior violates these terms.

IV. Program Transparency
QRaway ensures that all affiliate transactions are recorded and available for affiliates to track in their account dashboard. Commissions are tied to subscription payments and may be adjusted in case of refunds or chargebacks.

11. Support and Community

QRaway provides non-stop system support and updates to ensure the platform operates smoothly. Users can create support tickets directly through the platform to request help with technical issues or to ask questions. Our support team responds to tickets as quickly as possible.

In addition to direct support, QRaway offers community forums where users can:

• Share ideas and best practices for using Digital Spaces
• Discuss technical issues and find solutions from other community members
• Collaborate on projects and learn more about QRaway's features

The community forums are a valuable resource for gaining insights, solving problems, and connecting with other users who are also building their Digital Spaces.

12. Complaints About Digital Spaces

QRaway allows users to report any Digital Spaces that may contain offensive, harmful, or illegal content. If you believe a space violates these Terms of Service, you can submit a complaint by emailing [support email]. Our team will review the complaint and, if necessary, take appropriate action, which may include content removal or account suspension.

Please note that QRaway does not actively moderate the content of Digital Spaces; moderation is the responsibility of each space owner. Complaints will be reviewed as they are received, and actions will be taken in accordance with our policies.

13. Data Protection and Security

QRaway employs SSL (Secure Sockets Layer) across the entire platform to ensure secure data transmission. In addition, login authentication is handled using encrypted keys to protect user accounts.

Encryption Example:
The platform uses AES-256-CBC encryption for securing login data, with dynamic key generation and verification to ensure confidentiality and security during the login process.

While QRaway makes every effort to secure your data, users are encouraged to take additional measures to protect their personal information, such as using strong passwords and enabling two-factor authentication when available.

14. Third-Party Services

QRaway integrates with third-party services to provide additional functionality:

• Merchant services (e.g., PayPal) are used for processing payments securely.
• Telnyx provides SMS services for communication and notifications.
• Linode provides cloud hosting infrastructure for all Digital Spaces.

QRaway is not responsible for any issues arising from the use of these third-party services, including delays, outages, or security issues on the third-party platforms.

15. Intellectual Property

All content on the QRaway platform, including but not limited to software, design, and logos, is the intellectual property of QRaway. Users are permitted to use QRaway’s logos and branding for promoting their Digital Spaces but must not use them in ways that could lead to phishing, fraud, or any illegal activity.

16. Indemnification

Users agree to indemnify and hold harmless QRaway, its affiliates, and its staff from any claims, damages, losses, or legal fees resulting from their use of the platform, including but not limited to issues arising from content posted on Digital Spaces, unauthorized access to user accounts, or misuse of third-party services.

17. Governing Law and Jurisdiction

These Terms of Service are governed by the laws of Canada. Any disputes arising from these terms will be resolved under the jurisdiction of Canadian courts.
